*Provided that Client (i) is not receiving any athenaNet Services as of the Effective Date; (ii) executes the Agreement, including this Proposal, on or before the earlier of (a) the Valid If Accepted By Date set forth in this Proposal, or (b) December 31, 2019; (iii) has its Go-Live Date with respect to the full suite of athenaOne services within six (6) months of the Effective Date; and (iv) as of the Effective Date, is a member of Los Angeles County Medical Association, then the Parties agree that for the first two (2) months following the Client’s initial Go-Live Date (x) the athenaOne Service Fee shall be reduced to 0% of Collections and (y) the Client Minimum Fee per Month (if any) shall be reduced to $0. Beginning in the third month after the initial Go-Live Date and thereafter, the athenaOne Service Fees shall be as set forth in the athenaOne Fees section of this Proposal. If Client satisfies each of the conditions in subsections (i)-(iv) above, then this paragraph shall supersede any conflicting provisions of this Proposal related to invoicing or payment of the athenaOne Service Fees in the first three months following the Go-Live Date.
